About the WPA System of Governance
The Board, comprising Executive and Non-Executive Directors, has responsibility for the overall leadership of WPA, its strategic direction and its values and culture. Collectively, the Board is responsible for the Group's system of Corporate Governance. The system of governance is designed to enable the Board to lead with three lines of defence, evidence and oversight of functions.

As a private company limited by guarantee, we have 40 Members of the Association, that collectively undertake a governance role similar to the governance role exercised by shareholders.
The Board of Directors is comprised of an appropriate mix of skills and experience to be both effective and entrepreneurial, whilst furthering the Association's purpose of enabling our customers to access the best possible healthcare. The Directors, a majority of which are Non-Executive, engage with all stakeholders and are cognisant of their duty to promote the long-term success of the company.

The Audit Committee monitors and reviews the integrity of the financial statements, the internal control system including the internal audit function (which is outsourced to PwC) and the external auditor. The Committee also provides advice on the Annual Report and Accounts and the Solvency and Financial Condition Report.

The Risk Committee acts as a steward of the Risk Management Framework and provides objective oversight of the risk management process with regard to risk identification, assessment, appetite, strategy and management. The Risk Committee advises the Board on the appropriateness of the Own Risk Solvency Assessment (ORSA), the Risk Appetite Statements and the Regular Supervisory Report and promotes a risk awareness culture throughout the WPA Group.

The Investment Oversight Committee operates under a specific mandate from the Board with clear guidelines based on the objectives of the Group. The overriding aim of the investment strategy is to comfortably maintain the Group's capital to meet regulatory requirements and to preserve the real value of the portfolio.

The Remuneration Committee has delegated responsibility for determining the Remuneration Policy for the Executive Directors, the Chair of the Board, Executive Team and subsidiaries within the WPA Group. Workforce remuneration is also reviewed by the Committee together with alignment of incentives and rewards with culture.

The Leadership Team is comprised of the Executive Directors and Executive Team (Executive Officers and Senior Management) who work together to focus on the day to day running of the business, its strategic aims and visions.

The Nomination and Governance Committee is responsible for leading the process for appointments to the Board, Board Advisory Committees, Senior Management positions and subsidiaries within the WPA Group. The Committee also makes recommendations to the Board on the appointment and composition of Members and considers succession planning and the Board Diversity and Inclusion Policy.

The Medical Advisory and Clinical Governance Committee provides advice to the Board and Senior Management on any medical matters related to private medical insurance including: developments in medicine and medical treatments; appropriate levels of benefit and related professional fees; specialists' recognition and clinical governance in private practice and advice on rules applied to medical matters in the WPA Group's insurance and administration contracts.

The Personnel Committee is responsible for reviewing and monitoring the development and maintenance of effective human resource strategies, ensuring practices are compliant with current employment legislation and safeguarding training in both business specific skills and personal development. The Committee has oversight of the Gender Pay Report and the Modern Slavery Statement.
